Terms of Service

Introduction

This OnInvoice Terms of Service (the “Agreement”) contains the terms and conditions that govern your access to and use of the service offerings (as defined below) and is an agreement between OnInvoice and you or the entity you represent. This Agreement takes effect when you click an “I Accept” button or check box presented with these terms, or when you use any of the services. If you are entering into this Agreement on behalf of an entity, you represent and warrant that you have the legal authority to bind that entity. By using the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement and all policies posted on the OnInvoice Website.

Definitions

“Business Days” means Monday to Friday excluding Public Holidays in Malaysia.

“Business Hours” means 9.30 a.m. to 5.00 p.m. on any Business Day.

“OnInvoice”, “we”, “us”, or “our” refers to the OnInvoice platform, an intermediary system that facilitates the transmission of e-Invoices from clients to the Inland Revenue Board of Malaysia (LHDN) for validation and submission.

“OnInvoice Website” refers to the Site located at https://www.oninvoice.io or successor sites owned by OnInvoice.

“Services” means the web services provided by OnInvoice or its affiliates.

“Service Fees” means the fees payable by the User to OnInvoice under this Agreement.

“Credit” means purchased units that allow the User to access and utilize the Services until consumed.

“User” or “you” means any individual or organization using the Services.

Use of the Service Offerings

Your Account. To access the Services, you must create an OnInvoice Account associated with a valid e-mail address. You are responsible for all activities under your account, whether performed by you, your employees, or third parties. You must maintain the confidentiality of your login credentials.

Unauthorized Access. OnInvoice is not responsible for unauthorized access to your account. You must notify us immediately if you believe your account has been compromised.

Provision of Services. Unless otherwise stated, OnInvoice does not provide or maintain hardware, internet connectivity, or software required for you to access the Services.

Service Fee and Payment

The Service Fee shall be denominated in Malaysian Ringgit (MYR).

Payments must be made in full without deductions. Currently, payments are supported via Online Banking.

OnInvoice reserves the right to revise the Service Fees. Any changes will be communicated via email and/or published on the OnInvoice Website, and shall take effect immediately or within the period specified.

Failure to pay after four (4) follow-ups may result in late charges, suspension, or termination of your account.

Credit

Use of the Services requires the purchase of Credits. Credits are deducted upon usage and remain valid until fully consumed.

If your Credits are exhausted, you will no longer be able to access the Services until additional Credits are purchased.

Credits are non-refundable and non-transferable unless required by applicable law.

Disclaimer and Limitation of Liability

The Services are provided on an “as is” and “as available” basis without any warranties, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

OnInvoice does not warrant that the Services will be uninterrupted, secure, error-free, or that the results obtained from the use of the Services will be accurate or reliable.

You expressly agree that OnInvoice is not responsible for your tax obligations or liabilities.

To the maximum extent permitted by law, OnInvoice shall not be liable for any direct, indirect, incidental, consequential, or exemplary damages, including but not limited to loss of profits, data, goodwill, or business interruption, arising out of or related to your use of the Services.

You agree to indemnify and hold harmless OnInvoice, its affiliates, officers, directors, agents, and employees from any claims, demands, or damages, including reasonable legal fees, arising out of your use of the Services, your breach of this Agreement, or your violation of any law or third-party rights.

Service Suspension and Termination

OnInvoice may suspend or terminate your account immediately if:

  • Your use of the Services poses a security risk to OnInvoice or third parties.
  • Your use may subject OnInvoice to liability.
  • You are in breach of this Agreement.
  • You fail to pay Service Fees after four (4) follow-ups.

If you terminate your account, you remain responsible for all Service Fees incurred prior to termination. Upon termination, OnInvoice may erase all of your content, unless required by law to retain it.

Privacy Policy and Data Protection

OnInvoice’s Privacy Policy forms an integral part of this Agreement. By using the Services, you consent to the collection, processing, and disclosure of your personal data in accordance with our Privacy Policy.

We may verify your personal data with third parties where necessary to provide the Services. Continued use of the Services constitutes acceptance of any updated Privacy Policy.

Suggestions

If you provide suggestions, feedback, or ideas to OnInvoice, we shall own all rights, titles, and interests in such contributions. You assign all rights to OnInvoice and agree that we may use them without restriction or compensation to you.

Changes to Services

OnInvoice may modify, discontinue, or deprecate any of the Services or features from time to time. Significant changes will be notified via email or publication on the OnInvoice Website.
